1. Eligibility

You must be at least 13 years of age (or the minimum age of digital consent in your jurisdiction) to use the App. By using the App, you represent and warrant that you meet this requirement. If you are under 18, you must have the consent of a parent or legal guardian.

2. Account Registration

To access certain features, you must create an account. You agree to provide accurate and complete information and to keep your login credentials confidential. You are responsible for all activity that occurs under your account. Notify us immediately if you suspect unauthorized access.

3. Subscriptions and Usage Allowances

Paid Mosaic Premium subscriptions include a product usage allowance for features that incur metered processing costs. Monthly subscriptions include up to $8.50 of product usage costs per billing period. Annual subscriptions include up to $59.50 of product usage costs per subscription year. If the included usage allowance is exhausted, you may purchase additional usage credits to continue using covered features during the applicable billing period.

Usage allowances and purchased credits are not cash balances, have no cash value, are non-transferable, and may be subject to store, platform, and availability limits. Unused included usage does not roll over after the applicable subscription period unless we state otherwise.

4. Referral Program

Mosaic may make a friend referral program available to eligible users with active Mosaic accounts, where permitted. Referral codes are personal to the user who receives them. A referred friend may apply a valid code during signup or before purchase, subject to the program rules shown in the App and technical availability.

Referral rewards, when earned, are subscription time only: one month of Mosaic Premium added to the referrer's Premium entitlement. Rewards have no cash value, are not paid as money or credits, are non-transferable, and may not be sold, exchanged, or redeemed for cash. A referrer may receive up to three referral rewards in any rolling 365-day period.

A reward is earned only after the referred friend completes the qualifying paid renewal required by the program, currently the second qualifying paid payment after the referral is attributed. Free trials, free or promotional entitlements, family-shared access, usage top-ups, zero-price events, refunded or non-qualifying transactions, and other events we determine do not satisfy the program do not qualify.

You may not refer yourself, create or use fake accounts, use the same device or install to create referrals, spam referral codes, buy or sell codes, or otherwise manipulate the program. We may withhold, deny, revoke, or void discounts or rewards, disable referral codes, block referral attribution, or suspend or terminate accounts when we suspect abuse, fraud, ineligible activity, or a violation of these Terms.

We may modify, suspend, or end the referral program, eligibility rules, rewards, caps, qualifying conditions, or code availability at any time. Referral codes, discounts, and rewards are not guaranteed to be available, uninterrupted, or error-free.

5. Acceptable Use

You agree not to:

• Use the App for any unlawful or unauthorized purpose
• Attempt to gain unauthorized access to any part of the App or its systems
• Reverse engineer, decompile, or disassemble the App
• Transmit any viruses, malware, or harmful code
• Use the App to harass, abuse, or harm others
• Scrape, data-mine, or extract data from the App by automated means
• Interfere with or disrupt the App's infrastructure or other users' experience

7. AI-Powered Features

The App uses artificial intelligence (including the OpenAI API) to generate nutrition insights, recommendations, meal analyses, workout feedback, and responses. While we strive for accuracy, AI-generated content and app estimates can be inaccurate, incomplete, delayed, or unsuitable for your specific circumstances. You are responsible for reviewing outputs, checking important information against labels, qualified sources, or professional guidance, and not relying on the App as the sole basis for medical, dietary, training, safety, or other important decisions. You acknowledge that you use AI-powered features at your own discretion and risk.

8. Intellectual Property

All content, features, functionality, design, graphics, trademarks, and software associated with the App are owned by or licensed to Mosaic and are protected by applicable intellectual property laws. You may not copy, modify, distribute, or create derivative works based on any part of the App without our prior written consent.

9. User Content

You retain ownership of any data or content you submit through the App (such as dietary logs and fitness entries). By submitting content, you grant us a limited, non-exclusive license to use, process, and store that content solely for the purpose of providing and improving the App's services.

10. Termination

We reserve the right to suspend or terminate your account at any time, with or without notice, for conduct that we determine violates these Terms or is harmful to the App, other users, or third parties. You may delete your account at any time through the App's settings. Upon termination, your right to use the App ceases immediately.

We may investigate suspected misuse, abuse, fraud, security threats, unauthorized access, creation or use of fake accounts, automated scraping, spam, harassment, attempts to disrupt the App, or other activity that harms Mosaic, other users, third parties, or the integrity or security of the App. If we determine or reasonably suspect that an account has been used for such activity, we may, to the extent permitted by law, limit features, suspend or terminate access, disable accounts, revoke benefits, credits, discounts, or rewards obtained through abuse, block future access, preserve relevant records, and cooperate with law enforcement or other appropriate third parties. We may provide notice when reasonable, but may act without prior notice where needed to prevent harm, protect security, comply with law, or preserve an investigation.

The App is provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, whether express or implied. We do not warrant that the App, its data, AI-generated outputs, estimates, recommendations, or other content will be accurate, complete, uninterrupted, error-free, secure, or free of harmful components. Your use of the App is at your sole risk.

13. Indemnification

You agree to indemnify, defend, and hold harmless Mosaic and its affiliates from any claims, damages, losses, liabilities, or expenses (including reasonable attorneys' fees) arising from your use of the App, your violation of these Terms, or your violation of any rights of a third party.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Texas, United States, without regard to its conflict-of-law provisions. Any disputes arising under these Terms shall be resolved in the courts located in Travis County, Texas.

15. Changes to These Terms

We may revise these Terms at any time by posting the updated version with a new effective date. Your continued use of the App after such changes constitutes your acceptance of the revised Terms. We encourage you to review these Terms periodically.

16. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.
